Board of Directors Meeting
January 23, 2020
Call to Order
A board of directors meeting of The Village Woodshop was held on January 23, 2020 at 704 Oak Street The Villages, Florida. The meeting was called to order at 7:00 PM and was presided over by Stephan Yovan, Chairman with Byron Porter Jr., secretary. A quorum was established.

Voting members in attendance included:
Mike Cromwell, Judi Meyers, Alvin Corenblum, John Scott, Stephan Yovan, Dan Rozko, Alice Besler and Steve Mendelson.
Members not in attendance included:

Non BOD guest Business
· Mike Cromwell talked about changes to the bylaws for Harm Borfitz. Under present bylaws the BOD consists of 8 members. It is projected that we would move to 12 BOD Members with a change of 8 members to complete a quorum. Mike Cromwell will take on the task of clarifying how we will get to 12 BOD Members and report back to us next month.
· A motion was proposed by John Scott and seconded by Judi Meyers to nominate John Herega as Chairman of the 2020 Nominating Committee. The proposal was voted on and passed by a unanimous vote. John Herega has agreed to remain as Chairman of the Nominating Committee.
Approval of Previous Minutes
· Motion to approve the notes of the previous November 21, 2019 meeting was made by John Scott and seconded by Steve Mendelson and unanimously approved by all.
· Motion to approve the minutes from the October 24, 2019 meeting was made by John Scott and seconded by Steve Mendelson and unanimously approved by all. These minutes could not be approved during the November meeting as we did not have a quorum.

Officers’ Reports
Chairman Report presented by Stephan Yovan
· Stephan thanked Mike Cromwell outgoing Chairman of The Board for the great job he did running the VWC.
President’s Report presented by Mike Borfitz
· Mike congratulated the new board members.
· Mike talked about overcrowding in the shop. At the January 14 EOC meeting a team of four members was appointed to look into the overcrowding complaints. Their report pointed out that a great deal of the overcrowding problem was made by new members who were unsure of the proper function of equipment. The vice president Richard Peirce and Deb Larouere will work with Education, Certification, and Mentoring people to address the issue.
· Club insurance increased for the present fiscal year.
· Brownwood site groundbreaking will begin in about 1 ˝ weeks. Originally the turnover to the VWC was scheduled for about October 13; the new schedule moves that up to the end of September.
Vice President Report presented by Richard Peirce
· We now have a full set of construction documents.
· We are looking at procurement of equipment and creating a schedule of equipment arrival times in order to trim down on storage of equipment..
Treasure Report presented by Doug Parks
· See the Village Woodshop Club’s Server for the budget details.
· A motion to approve the Financial Report Balance Sheet was made by Mike Cromwell and seconded by Alvin Corenblum and passed by unanimous voice vote..
Safety Committee Report presented by John Herega for Harm Borfitz
· We are looking for a better way to identify the members of the safety committee.
