Board of Directors Meeting
December 19, 2019
Call to Order
A board of directors meeting of The Village Woodshop was held on December 19, 2019 at 704 Oak Street The Villages, Florida. The meeting was called to order at 7:00 PM and was presided over by Mike Cromwell, Chairman with Byron Porter Jr., secretary. A quorum was not established.

Approval of Previous Minutes
· Motion to approve the minutes of the previous November 21, 2019 meeting could not be made as we did not have a quorum.

Officers’ Reports
Chairman Report presented by Mike Cromwell
· A discussion was presented to change the bylaws to read 12 members with only eight members required to reach a quorum. A bigger BOD will be required because of the new shop. The BOD should strive but not be required to have an equal number of members from each shop in order to give equal representation to both shops.
· The bylaws should be changed to say at least one more candidate than required.
President’s Report presented by Mike Borfitz
· A bulletin board has been established which will contain news on the Second Shop.
· Certification/Waiting List – The waiting list continues to inch up.
· There is some concern about the inexperienced new members. It is suggested that we should have a clear monitoring group who will be willing to work with and help new inexperienced members.
· Mike talked about a draft that has been drawn up For the Proposal for the Structure of the VWC Government and Administration for two site operations.
· The Christmas Party was a great success.

· A motion to approve the Financial Report Balance Sheet could not be made as we did not establish a quorum.
