Proposal to Establish position of Trustee

PROPOSAL

It is proposed to establish the position of trustee.

In the January BOD meeting a trustee will be chosen by the newly elected BOD chairperson from the three members that have to exited the BOD.  If the
chairperson serves as such for more than one year, he may reappoint the trustee
he/she previously selected to serve until he/she no longer holds the office. Otherwise the trustee will serve for one year.

If one of the three outgoing BOD members was chairman, then preference should
be given to the member who has served as Chairperson, if declined, the position
should then be offered to one of the two remaining outgoing members, if they
decline, the position should be offered to any past board member.

The trustees will not have a vote in any board matters, their participation is only
advisory.
